This agreement is between Ontech Solutions Limited ("Ontech", "we") and the person or entity
approved as a partner ("Partner", "you"). It governs your participation in the Ontech USSD Partner
Programme, under which you refer developers to Ontech's *388# USSD platform and earn a
commission on the revenue they generate.
On approval you receive a unique referral code and link. A developer is attributed to you when they sign up using your code. Attribution is recorded once, at sign-up, and is final for that developer. You may not refer yourself, related accounts, or use misleading, unlawful, or spam promotion. Ontech may decline or reverse attribution obtained in breach of these terms.
You earn a commission equal to a percentage of Ontech's net revenue (excluding VAT) from the plan payments made by your referred developers. The applicable rate is the rate set for your account, otherwise a rate determined by your monthly referred volume, otherwise Ontech's default rate. Commission is credited in Zambian Kwacha (ZMW) to your commission balance. Ontech may change rates and bands prospectively; changes do not affect commission already accrued.
You may request a payout of your available balance, subject to a minimum withdrawal amount. Each request is reviewed and authorised by Ontech before payment, and paid to your nominated mobile-money or bank destination. Ontech may hold or decline a payout pending identity, tax, or anti-fraud verification. Only one payout request may be open at a time.
Commission accrued on a payment that is later refunded, reversed, charged back, or found to be fraudulent or in breach of these terms may be reversed and deducted from your balance, including where it results in a negative balance to be recovered from future commission.
You will promote the platform lawfully and honestly, will not impersonate Ontech or misrepresent the service, pricing, or your relationship with us, and will comply with all applicable Zambian laws and regulations, including those of ZICTA and data-protection requirements.
You are an independent contractor. Nothing here creates an employment, agency, partnership, or joint venture, and you have no authority to bind Ontech or to make representations on its behalf.
Non-public information you receive through the programme (including rates, developer data, and platform details) is confidential and must not be disclosed or used except to perform under this agreement.
You are responsible for your own taxes on commission earned. Where required by law, Ontech may withhold or report amounts to the relevant authority.
[Decision needed] To the fullest extent permitted by law, Ontech's total liability under this agreement is limited to the commission paid or payable to you in the preceding [X] months, and Ontech is not liable for indirect or consequential loss.
Either party may terminate participation at any time on notice. On termination, accrued and verified commission above the minimum withdrawal amount will be paid subject to the payout and clawback terms; attribution records and any fraud review survive termination. Ontech may suspend an account immediately for suspected breach or fraud.
Ontech may publish a new version of this agreement. Each version is dated and numbered. When a new version is published you will be asked to accept it before requesting further payouts; continued participation after acceptance constitutes agreement to the current version.
[Decision needed] This agreement is governed by the laws of the Republic of Zambia, and the courts of Zambia have exclusive jurisdiction.
